Nestlé and Platinum Equity Form $5.6B Peranel Joint Venture for Global Water Brands

Nestlé and private equity firm Platinum Equity have agreed to establish Peranel, a 50/50 joint venture that will combine Nestlé’s global waters and premium beverages business into a standalone company valued at €4.9 billion ($5.6 billion). The move reflects a broader trend among multinational companies to separate mature business units into independently managed entities with greater operational flexibility and stronger investment focus.

Nestlé is reshaping its global beverages portfolio through a new partnership with Platinum Equity, creating an independently operated company focused exclusively on bottled water and premium hydration products. The companies announced plans to launch Peranel, a 50/50 joint venture that brings together more than 30 international and regional beverage brands under a dedicated management structure.

The transaction assigns an enterprise value of €4.9 billion ($5.6 billion) to the new company and remains subject to regulatory approvals and employee consultation processes. Closing is expected during the first half of 2027.

The announcement represents one of the largest consumer goods carve-outs in recent years and highlights the increasing use of joint ventures by multinational corporations to unlock growth in specialized business segments while maintaining strategic ownership.

A standalone business focused on premium hydration

Headquartered in Paris, Peranel will oversee a portfolio spanning more than 30 beverage brands sold across 120 countries.

Its portfolio includes internationally recognized natural mineral water brands such as S.Pellegrino, Perrier, and Acqua Panna, alongside Nestlé Pure Life, premium hydration products, functional beverages, and several regional bottled water brands.

The company will continue to be led by Muriel Lienau, the current chief executive of Nestlé’s waters and premium beverages business, providing continuity during the transition to an independent operating model.

According to Nestlé, Peranel will operate with greater autonomy, enabling faster decision-making while continuing to invest in innovation, premium product development, sustainability initiatives, and operational efficiency.

Why the joint venture matters

Consumer goods companies are increasingly restructuring large portfolios to give individual business units greater strategic focus. Rather than managing water brands within a broader food and beverage organization, Peranel will concentrate exclusively on hydration and premium beverage categories.

Nestlé CEO Philipp Navratil said the partnership is intended to provide the business with enhanced agility while supporting long-term growth through innovation, premiumization, and operational excellence.

For Platinum Equity, the investment expands its portfolio of corporate carve-outs and operational transformation projects. The investment firm manages approximately $48 billion in assets and has previously partnered with multinational companies including Ball Corporation, Caterpillar, Danone, Emerson Electric, Ingersoll Rand, Kohler, and Telstra on business separation and transformation initiatives.

Co-President Louis Samson described the transaction as a strategic partnership combining Platinum Equity’s operational expertise with Nestlé’s product development, brand management, and marketing capabilities.

Innovation remains central

Peranel inherits an established research and development organization that has contributed to approximately 120 product launches since 2022, according to Nestlé.

The company plans to continue investing in new beverage formats as demand grows for premium hydration, functional drinks, and wellness-focused products.

These categories have experienced sustained growth as consumers increasingly seek beverages positioned around health, convenience, and lifestyle rather than traditional soft drinks.

Managing Director Igor Chacartegui said Platinum Equity also intends to support Peranel through acquisitions, complementing organic product development with strategic mergers and acquisitions to strengthen the company’s global portfolio.

Enterprise implications

The formation of Peranel illustrates how large consumer companies are using corporate restructuring to create more specialized organizations capable of responding more quickly to evolving consumer preferences.

Independent governance structures can provide greater flexibility in capital allocation, portfolio management, and investment decisions while allowing parent companies to retain meaningful ownership through joint venture arrangements.

The transaction also reflects continuing private equity interest in established consumer brands with global distribution networks and opportunities for operational optimization.

Across the broader enterprise landscape, companies increasingly rely on digital technologies—including cloud platforms from Microsoft Azure, Google Cloud, and Amazon Web Services (AWS), along with AI infrastructure supported by NVIDIA—to optimize supply chains, demand forecasting, manufacturing operations, and product innovation. Standalone organizations like Peranel may benefit from greater flexibility in adopting these technologies as they modernize operations and expand internationally.

A broader industry trend

The beverages sector continues to evolve as premiumization, sustainability, and health-conscious consumption reshape purchasing behavior worldwide.

Industry participants are investing in functional beverages, natural mineral water, recyclable packaging, and digital supply chain capabilities while pursuing acquisitions that strengthen brand portfolios.

Peranel’s creation positions the business to compete more directly within these higher-growth categories while maintaining access to Nestlé’s expertise and benefiting from Platinum Equity’s operational and M&A capabilities.

If regulatory approvals proceed as expected, the new company will emerge in 2027 as one of the world’s largest dedicated premium water and hydration businesses.
