N5Deal Report: Fintech Firms Overtake Banks in M&A as Regulatory Licenses Drive Deal Value

The global fintech mergers and acquisitions (M&A) market is entering a new phase, with fintech companies acquiring more businesses than traditional banks for the first time, according to a new report from N5Deal. The study argues that regulated financial licenses—not just revenue growth or technology—are becoming some of the most valuable assets in fintech acquisitions as buyers seek faster market entry in an increasingly regulated financial services landscape.

The balance of power in financial services dealmaking is shifting.

According to the 2026 Fintech M&A Report published by N5Deal, fintech companies have surpassed traditional banks in acquisition activity for the first time on record, reflecting the sector’s continued maturity and the growing strategic importance of regulatory infrastructure in financial services.

The report estimates that global fintech mergers and acquisitions will reach between $40 billion and $60 billion in 2026, compared with approximately $25 billion to $30 billion in 2024. Strategic buyers—including fintech firms, banks, payment companies, and private equity investors—are increasingly pursuing acquisitions to accelerate expansion rather than building new capabilities internally.

The findings suggest that today’s acquisitions are driven less by software products alone and more by access to regulated financial infrastructure.

Traditionally, fintech valuations have focused on metrics such as revenue growth, recurring income, customer acquisition, and technology capabilities. However, N5Deal argues that this approach increasingly overlooks one of the industry’s most valuable assets: financial licenses.

Licenses such as Electronic Money Institution (EMI) authorizations, money transmitter licenses, and full banking charters often require years of regulatory approvals, significant capital investment, and extensive compliance programs before companies can begin operating.

According to the report, obtaining these regulatory approvals may take five to seven years, while approvals required following a change of ownership can extend transaction timelines by an additional six to 24 months depending on jurisdiction.

For buyers seeking rapid expansion into new markets, acquiring an already licensed financial institution can significantly reduce time-to-market while avoiding lengthy regulatory application processes.

The report identifies this regulatory foundation as an increasingly important driver of acquisition pricing, particularly across cross-border payments, embedded finance, Banking-as-a-Service (BaaS), and digital banking platforms.

The growing emphasis on licenses reflects broader structural changes across fintech.

As regulatory oversight expands globally, financial institutions are placing greater strategic value on companies with established governance, compliance systems, and operating approvals. Rather than acquiring technology alone, buyers are increasingly purchasing fully operational regulated entities capable of supporting immediate commercial activity.

The report also highlights the growing influence of artificial intelligence on transaction valuations.

According to N5Deal, fintech companies with AI-enabled compliance capabilities are currently commanding valuation premiums of 20% to 25% across multiple financial technology segments, with the strongest pricing observed among RegTech providers. The analysis suggests that as AI-powered compliance becomes more widely adopted, investors may eventually treat automated regulatory capabilities as a baseline expectation rather than a competitive differentiator.

This trend aligns with broader industry forecasts. McKinsey & Company has identified AI-driven risk management and compliance automation as key priorities for financial institutions seeking to improve operational efficiency while meeting increasingly complex regulatory requirements. Meanwhile, Deloitte reports that financial services organizations continue expanding investment in regulatory technology to reduce compliance costs and strengthen governance.

Market conditions are also supporting increased acquisition activity.

The report notes that private equity firms continue to hold substantial undeployed capital, while financing conditions have improved compared with recent years. This combination is creating opportunities for buyers pursuing strategic acquisitions and sellers seeking favorable valuations.

However, N5Deal argues that transaction readiness has become increasingly important.

Comprehensive regulatory documentation, governance records, licensing history, compliance procedures, and operational controls now play a significant role during due diligence. In many cases, the report suggests, the quality of documentation determines whether a transaction progresses as much as financial performance itself.

The changing dynamics also illustrate how fintech companies have evolved beyond startup status into active consolidators.

Rather than competing solely with incumbent banks, larger fintech firms are increasingly acquiring complementary businesses to expand geographically, add regulated capabilities, strengthen payment infrastructure, or enhance embedded finance offerings. This mirrors consolidation patterns previously seen across enterprise software and cloud computing markets, where acquisitions became a primary strategy for accelerating innovation and market expansion.

For enterprise buyers, the findings underscore a broader shift in fintech valuation methodology. Regulatory approvals, compliance infrastructure, AI-enabled governance, and operational readiness are emerging as strategic assets alongside technology platforms and customer growth.

As the fintech industry continues consolidating, the report suggests that future acquisition strategies will increasingly center on acquiring regulated operating infrastructure rather than simply purchasing software or digital products—a trend that could reshape dealmaking across banking, payments, and financial technology over the remainder of the decade.
