Cherry Hill Posts $5.5M EAD as TPG Mortgage Deal Reshapes Outlook

Cherry Hill Mortgage Investment Corporation reported $1.3 million in GAAP net income for the second quarter of 2026, alongside $5.5 million in earnings available for distribution, but the company’s quarterly results arrive against a more consequential development: its agreement to be acquired by TPG Mortgage Investment Trust.

The residential mortgage REIT reported common book value of $3.16 per share as of June 30 and declared a $0.10 quarterly common dividend. On Aug. 9, Cherry Hill entered into a definitive merger agreement with TPG Mortgage Investment Trust, with the transaction publicly announced Aug. 10 at an implied value of approximately $117.5 million.

The deal means the second-quarter figures are less about signaling Cherry Hill’s next standalone quarter than they are about documenting the financial position of a mortgage REIT that is now moving toward a combination with a larger residential mortgage platform.

Cherry Hill’s quarterly results come with a merger attached

Cherry Hill’s second-quarter performance reflects the complicated earnings profile of a mortgage REIT, where net income can move substantially with changes in the value of mortgage assets and hedging instruments.

The company reported $1.3 million of GAAP net income attributable to common stockholders, equivalent to $0.04 per basic and diluted weighted-average share.

On a distribution-oriented basis, Cherry Hill reported $5.5 million of earnings available for distribution, or $0.15 per diluted share.

The distinction matters.

GAAP earnings incorporate fair-value changes and other accounting items that can create significant volatility from quarter to quarter. Earnings available for distribution is a non-GAAP measure intended to provide another view of the earnings generated by the company’s investment and servicing activities.

Cherry Hill’s second-quarter numbers illustrate that difference clearly.

Net interest income was $4.7 million, while net servicing income reached $7.4 million. The company also recorded a $12.1 million net realized gain on derivatives.

Against those gains, Cherry Hill reported a $9.3 million net unrealized loss on derivatives, a $2.4 million net unrealized loss on servicing-related assets and a $0.9 million net unrealized loss on RMBS measured at fair value through earnings.

The company also recorded $2.8 million in credit loss and impairment on other assets, while general and administrative expenses plus compensation and benefits totaled $4.0 million.

The result was positive GAAP earnings, but considerably below the company’s distribution-oriented earnings figure.

Dividend remains central to the investment case

Cherry Hill declared a regular common dividend of $0.10 per share for the quarter.

Based on the company’s cited Aug. 7 closing share price, that represented an annualized dividend yield of 16.6%.

High headline yields are common among mortgage REITs because these companies distribute a substantial portion of income to shareholders and use leverage to invest in mortgage-related assets.

But yield alone does not tell investors whether a dividend is sustainable.

Mortgage REITs are exposed to interest-rate movements, financing costs, prepayment behavior, credit performance, asset valuations and the effectiveness of their hedging strategies.

Cherry Hill’s second-quarter results demonstrate that complexity. Its realized derivative gains helped earnings, while unrealized derivative losses moved in the opposite direction.

The company’s 5.02x aggregate portfolio leverage at June 30 also underscores the importance of funding and interest-rate management to the business model.

The merger changes the investment equation

The biggest development surrounding the quarter is not contained in the income statement.

Cherry Hill announced that it had agreed to be acquired by TPG Mortgage Investment Trust, a residential mortgage REIT focused on mortgage-related assets in the U.S. housing market. TPG Mortgage Investment Trust is externally managed by an affiliate of alternative asset manager TPG.

Under the transaction, Cherry Hill shareholders will receive 0.3063 shares of TPG Mortgage Investment Trust common stock plus $0.93 in cash for each Cherry Hill common share, according to merger materials filed with the SEC. The deal represents a 29% premium to Cherry Hill’s Aug. 7 closing price and a 32% premium to its 30-day VWAP.

The implied transaction value is approximately $117.5 million.

The transaction is subject to shareholder approval and other customary closing conditions. The companies expect the deal to close in the fourth quarter of 2026, according to Cherry Hill’s transaction FAQ.

For Cherry Hill investors, that shifts the key question from the company’s standalone earnings trajectory toward the value and structure of the proposed combination.

Scale matters in mortgage finance

Mortgage REITs operate in a capital-intensive environment.

Their returns depend on the spread between the yield generated by mortgage assets and the cost of financing those assets, alongside changes in asset values and hedging costs. Scale can therefore matter because larger platforms may have broader financing relationships, greater access to securitization markets and more opportunities to diversify portfolios.

TPG Mortgage Investment Trust’s existing business includes residential mortgage investments and ownership of Arc Home, a residential mortgage originator and servicer. The company has described a strategy involving non-agency residential loans, agency-eligible loans, home-equity loans and mortgage-backed securities.

The Cherry Hill combination consequently brings together two platforms with overlapping exposure to residential mortgage assets.

That overlap could provide opportunities to consolidate operations and combine investment capabilities, although the ultimate benefits will depend on integration and market conditions.

Cherry Hill’s servicing exposure remains important

Cherry Hill’s second-quarter earnings also highlight the importance of mortgage servicing within its business.

The company generated $7.4 million in net servicing income during the quarter, making servicing one of the largest contributors to its reported operating results.

Mortgage servicing rights and related assets can behave differently from mortgage securities as interest rates and prepayment expectations change.

That creates both diversification and another source of valuation sensitivity.

For mortgage REIT investors, understanding the composition of earnings is therefore more important than looking solely at headline GAAP income.

Cash provides some balance-sheet flexibility

Cherry Hill reported $52.1 million of unrestricted cash at June 30.

Cash is particularly relevant for leveraged mortgage investors because liquidity can become critical when markets move rapidly or financing conditions tighten.

It can provide a buffer against margin requirements, support portfolio adjustments and give management greater flexibility in managing short-term obligations.

However, Cherry Hill’s pending acquisition means investors will increasingly evaluate that liquidity within the context of the merger rather than as a standalone capital-allocation decision.

What investors should watch next

The most immediate catalysts are now transaction-related.

Cherry Hill and TPG Mortgage Investment Trust must complete the shareholder and regulatory processes required to close the merger. Until then, Cherry Hill says its operations will continue in the ordinary course.

For shareholders, the relevant questions extend beyond the 29% headline premium.

They include the value of the TPG shares received as consideration, the timing of closing, the treatment of dividends before completion and the strategic rationale for combining the two mortgage platforms.

The broader mortgage market will matter too.

Interest rates, housing-market conditions, mortgage spreads, refinancing activity and securitization markets can all affect residential mortgage REIT valuations.

Cherry Hill’s second-quarter report therefore arrives at an unusual moment: the company has demonstrated positive distribution earnings and maintained its dividend, but its next chapter is increasingly tied to a transaction designed to fold the business into a larger mortgage investment platform.

For investors, the earnings report provides the financial snapshot. The merger determines what happens next.

Market Landscape

Residential mortgage REITs operate between capital markets and the U.S. housing-finance system, investing in mortgage loans, mortgage-backed securities and related assets while using leverage and hedging strategies to generate shareholder returns.

The sector remains highly sensitive to interest-rate expectations and mortgage-market liquidity.

TPG Mortgage Investment Trust’s proposed acquisition of Cherry Hill reflects a broader pressure toward scale and operating efficiency in specialized mortgage finance. Combining platforms can potentially spread corporate costs across a larger asset base and broaden access to financing and securitization capabilities.

But consolidation does not eliminate market risk. Mortgage REITs remain exposed to funding costs, credit performance, prepayments, asset valuations and shifts in the yield curve.

The Cherry Hill transaction is therefore as much a capital-markets story as a corporate M&A event.
