iCapital is doubling down on infrastructure. The global fintech firm announced a definitive agreement to acquire Passthrough, a specialist in investor onboarding and financial compliance technology for private markets.
The move expands iCapital’s reach beyond its traditional stronghold in private wealth distribution and into deeper institutional territory—at a time when capital flows into alternative investments are surging.
In 2025 alone, institutional flows into alternatives topped $1.30 trillion. For general partners (GPs), that’s opportunity. For operations teams, it’s complexity. iCapital is betting that unified onboarding and compliance tech is the answer.
Why This Deal Matters
Private markets have long struggled with fragmented onboarding processes. Wealth channels often operate on different systems than institutional investors. iCapital built its reputation modernizing how GPs access the wealth channel—particularly private wealth advisors and high‑net‑worth investors.
